• RECOMMENDED ADD-ON: Fiat Bank Account

  A fiat bank account is still a must-have for most businesses. However, a fiat bank account for an offshore entity is a lengthy process that involves extensive document submission. We work with a number of preferred banking partners around the world however in most cases you will still be required to physically travel to meet with the local bank’s representative. Our service includes help with the preparation and submission of the application and arranging a meeting with the bank if necessary. We cap our fees provided we can obtain all necessary documents requested by the bank from you. Additional work above the minimum will be invoiced on a time-spent basis @USD 240/hr. Our account opening service is on a best-effort basis and subject to the ultimate discretion of our banking partners and their services in your chosen jurisdiction.

  Given that we have all entity documents and your Know-Your-Customer documents on file, it will save you significant cost and effort if we apply to open a crypto exchange account on your behalf. NOTE: Our account opening service is on a best-effort basis and subject to the ultimate discretion of our exchange partners and availability of the exchange in your chosen jurisdiction.

• MUST-HAVE ADD-ON! One-Time Legal Customisation

  For an initial block of 5 hours’ legal assistance at USD 400/hour, we help you with the legal customization at setup of your Foundation to get your control and governance structure right. This includes making your Foundation ready to act as Decentralized Autonomous Organization (DAO) so your project is considered sufficiently decentralized for i.a. securities laws that may apply.

2. Annual Maintenance

Annual maintenance of your Foundation is paid for each year in advance and includes a registered agent and address for your Foundation in Cayman and its annual filing. Add-ons include nominee services such as Corporate or Individual Directors.

• REQUIRED: CORPORATE SECRETARY AND LOCAL ADDRESS

  For only USD 3,000 per year, we provide you with local management for your Cayman Foundation, which includes local secretary and registered address. This is important to make sure your Foundation has sufficient local presence and operational independence from its Founders, irrespective of their location.

For enhanced privacy and as a precaution against identity theft, we require our clients to use a snoop-free, end-to-end encrypted Tresorit™ folder to upload and share sensitive documents with us. We also use the folder to securely store all documents in relation to your entity.

  Our Nominee Services include the appointment of corporate director(s) to your entity, creating an extra layer of distance between you as Founder of the Foundation. As with a physical Director, our Corporate Directors act under a general power of attorney. RECOMMENDED ADD-ON: Add a special power of attorney to have your Nominee act on specific, ad hoc instructions such as bank or crypto transactions.

• ADD-ON: Physical Director

  Our Nominee Services also include the appointment of one or more physical director(s) to your entity, who constitute your Board tasked with the day-to-day management of the Foundation. As with our Corporate Directors, a physical Director act under a general power of attorney however since the Director acts in physical capacity and not through a corporate entity, there are increased risks of personal liabilities for the Foundations’ actions. RECOMMENDED ADD-ON: Add a special power of attorney to have your Nominee act on specific, ad hoc instructions such as bank or crypto transactions.
